Terms of Service

1. Agreement to Terms

By accessing or using the services of AI Group LTD ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access our services.

These Terms apply to all visitors, users, and clients who access or use our services.

3. Services Description

AI Group LTD provides the following services:

• Software development and web application development
• AI and automation solutions
• Website design and development
• Accounting and tax services
• IT consulting and security services
• Digital transformation consulting

4. Service Agreements

4.1 Project Proposals and Quotes

All quotes provided are valid for 30 days unless otherwise specified. Projects commence upon signed agreement and receipt of the initial payment (if applicable).

4.2 Accounting Services

Our accounting services include:

• Monthly bookkeeping
• VAT returns and tax declarations
• Payroll processing
• Annual financial statements
• Tax consulting

Clients must provide all necessary documentation in a timely manner. We are not liable for penalties arising from late or incomplete client submissions.

4.3 Development Services

For software and web development projects:

• Project specifications must be agreed upon in writing before commencement
• Changes to scope may affect timeline and cost
• Source code ownership transfers upon final payment unless otherwise agreed
• We provide support as specified in the project agreement

5. Payment Terms

5.1 Pricing

All prices are quoted in Euros (EUR) unless otherwise specified. Prices exclude VAT unless explicitly stated.

5.2 Payment Schedule

• Development Projects: Typically 50% upfront, 50% upon completion
• Accounting Services: Monthly subscription, payable in advance
• Other Services: As agreed in the service contract

5.3 Late Payments

Late payments may result in:

• Suspension of services
• Late payment fees (1.5% per month on outstanding balance)
• Interest charges as permitted by Bulgarian law

6. Intellectual Property

6.1 Client Materials

Clients retain ownership of all materials, data, and intellectual property they provide to us.

6.2 Deliverables

Upon full payment:

• Clients receive ownership rights to custom-developed software (unless otherwise agreed)
• We retain the right to use general methodologies and techniques developed
• Open-source components remain under their respective licenses

6.3 Our IP

We retain ownership of our proprietary tools, frameworks, and pre-existing intellectual property used in delivering services.

7. Confidentiality

Both parties agree to:

• Maintain confidentiality of proprietary information
• Not disclose confidential information to third parties without consent
• Use confidential information only for the purpose of the agreement
• Return or destroy confidential information upon request or termination

This obligation survives termination of our agreement for a period of 3 years.

8. Limitation of Liability

8.1 General Limitations

To the maximum extent permitted by law:

• Our liability is limited to the amount paid for the specific service giving rise to the liability
• We are not liable for indirect, incidental, special, or consequential damages
• We are not liable for loss of profits, data, or business interruption

8.2 Force Majeure

We are not liable for failure to perform due to causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, labor disputes, or internet service interruptions.

9. Indemnification

You agree to indemnify and hold harmless AI Group LTD, its officers, employees, and agents from any claims, damages, or expenses arising from:

• Your use of our services
• Your violation of these Terms
• Materials you provide to us
• Your violation of any third-party rights

10. Termination

10.1 By Client

You may terminate services by providing 30 days written notice. Fees for work completed up to termination date remain payable.

10.2 By Company

We may terminate services immediately if you:

• Fail to make payments when due
• Violate these Terms
• Engage in fraudulent or illegal activities

10.3 Effect of Termination

Upon termination:

• All outstanding fees become immediately due
• We will deliver any work completed and paid for
• Confidentiality obligations continue

11. Dispute Resolution

11.1 Negotiation

Parties agree to first attempt to resolve disputes through good faith negotiation.

11.2 Mediation

If negotiation fails, parties agree to mediation under Bulgarian law.

11.3 Governing Law

These Terms are governed by the laws of the Republic of Bulgaria. Any disputes shall be subject to the exclusive jurisdiction of the courts of Bulgaria.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Your continued use of our services constitutes acceptance of the revised Terms.

13. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full effect.

14. Entire Agreement

These Terms, together with any written agreements for specific services, constitute the entire agreement between you and AI Group LTD.
